These Terms & Conditions (“Terms”) govern your access to and use of PATASHALA, operated by VITA SYSTEMS PVT.LTD (“we”, “us”, “our”). The Platform includes websites, web applications, APIs, documentation, and mobile applications (including Google Play distributions built with Capacitor or similar technology).
By signing in, accepting an account invitation, installing the mobile app, or otherwise using PATASHALA, you agree to these Terms and the Privacy Policy. If you do not agree, do not use the Service.

1. Quick summary

2. Definitions
- Platform / Service: PATASHALA software, hosting, and related services.
- School: Institution (and branches) authorised to use a tenant on the Platform.
- User: Any natural person who authenticates to the Platform.
- Admin User: School Admin, Branch Admin, Branch In Charge, Principal, or similar privileged roles.
- Content: Data, files, images, logs, and records entered or generated on the Platform.
- Student Data: Personal data relating to students.
- Subscription Agreement: Separate commercial contract (if any) between the School and VITA SYSTEMS PVT.LTD.
3. Eligibility
You must be authorised by a School (or by us) to use the Platform. Parent Portal users should be parents/guardians or adults authorised by the School. You must have legal capacity to agree to these Terms. If you use the Platform on behalf of a School, you represent that you have authority to bind that School to applicable obligations.
4. Account creation, credentials, and security
- Accounts are typically created by School administrators or platform operators.
- Provide accurate information and keep it updated.
- Keep passwords confidential; do not share Admin User accounts casually.
- Use device lock screens on phones used for face capture or driver tracking.
- Notify your School and info@patashala.co.in of suspected unauthorised access.
- We may require password resets, session revocation, or temporary freezes to protect tenants.
- First-time Users may be required to accept these Terms and the Privacy Policy; acceptance is stored against the user account and applies across browser and mobile.
5. Licence to use the Service
Subject to these Terms and any Subscription Agreement, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Platform solely for legitimate school-administration or parent-portal purposes matched to your role. All other rights are reserved.
6. Intellectual property
The Platform — including source/object code (as applicable), UI, workflows, logos, trademarks, documentation, and compilations — is owned by VITA SYSTEMS PVT.LTD or licensors. Schools own their institutional Content. Feedback you provide may be used by us to improve the Service without obligation to you.
You shall not copy, modify, distribute, publicly display, reverse engineer, decompile, or create derivative works of the Platform except to the limited extent mandatory law allows.
7. Modules and feature availability
Features may include (non-exhaustive): students, teachers, attendance, face capture, fees, day care, exams, timetable, transport, leaves, salaries, assets, reports, notifications, master data, users/roles, and feature-management controls. Availability depends on School subscription, Super Admin grants, and role permissions. We may add, change, or remove features with reasonable notice where practical.
8. Acceptable use
You agree not to:
- Violate any law or third-party right
- Harass, exploit, or endanger students or staff via the Platform
- Access data outside your authorised School/role/branch scope
- Bypass feature permissions, API controls, or security mechanisms
- Upload malware, illegal content, or infringing materials
- Use face capture to enrol people without authority
- Falsify attendance, fees, exams, or transport events
- Scrape, harvest, or bulk-download data except via authorised exports
- Resell access or white-label the Service without written approval
- Interfere with other tenants’ service or run denial-of-service activity
- Misrepresent GPS tracking as guaranteed safety monitoring
9. School obligations
Each School shall:
- Designate responsible Admin Users
- Ensure accuracy and lawfulness of Content it enters
- Configure roles, branches, and features responsibly
- Provide legally required notices/consents to parents and employees (including for minors and biometric/face attendance where used)
- Train staff on correct operational use
- Handle parent/student requests about School-controlled records
- Pay applicable subscription fees under the commercial agreement
- Promptly remove access for departed staff
10. Parent Portal terms
- Access is limited to linked students and enabled modules
- Do not share credentials with unauthorised persons
- Verify fee dues and communications with the School when in doubt
- Transport maps are informational; follow School pickup/drop instructions
11. Staff attendance and face capture
Schools may require or make optional face-assisted attendance. Camera access is required for capture. Matching confidence may vary by lighting, device, and model performance. Schools must allow correction workflows for errors. Users must not spoof or coerce face capture. If face attendance is mandatory under School policy, manual overrides may still be restricted by that policy and product settings.
12. Transport and location services
Driver apps may collect location while trips are active. Tracking quality depends on GPS, permissions, battery optimisation, and connectivity. The Platform is not an emergency dispatch system. Schools must maintain independent safety SOPs. We are not liable for delayed or missing location updates beyond our reasonable technical control.
13. Fees, invoicing, and payments
School fee policies are set by the School. Invoices and receipts generated by the Platform reflect School configuration. Online payments, if enabled, are processed by third-party gateways under their terms. Chargebacks, refunds, and fee concessions are School matters unless caused by a proven Platform calculation defect under our control.
14. Exams, academics, and records
Marks, schedules, and academic documents are School-controlled Content. Schools are responsible for verification before official use. The Platform provides tools; it does not certify board results.
15. Privacy
Personal data handling is governed by the Privacy Policy. Privacy contact: info@patashala.co.in. You agree not to use the Platform to process personal data unlawfully.
16. Licence to host School Content
You and the School grant us a worldwide, non-exclusive licence to host, copy, transmit, display, back up, and process Content solely to provide, secure, troubleshoot, and improve the Service, and to comply with law. This licence ends when Content is deleted from our systems after offboarding/retention expiry, except archival copies required by law.
17. Confidentiality
Each party should protect the other’s non-public information. Schools must keep Platform credentials and student records confidential. We protect School Content with industry- appropriate measures described in the Privacy Policy.
18. Service levels, maintenance, and support
Unless a separate SLA is signed, the Service is provided on a commercially reasonable efforts basis without guaranteed uptime percentage. We may perform maintenance that temporarily affects availability. Support channels include info@patashala.co.in. Priority and response targets may depend on the School’s plan.
19. Beta and AI-assisted features
Optional/beta features (including any AI assistants) may be inaccurate or incomplete. Schools must review outputs before relying on them for official decisions, certificates, or communications to parents.
20. Third-party services and links
Integrations (payments, SMS, email, maps) are optional and subject to third-party terms. We are not responsible for third-party outages, pricing, or policy changes.
21. Mobile app store terms
If you download PATASHALA from Google Play (or another store), you also comply with that store’s terms. The store is not responsible for maintenance/support of our app unless required by store rules. Privacy Policy and these Terms remain between you and VITA SYSTEMS PVT.LTD.
22. Suspension and termination
- We may suspend access for security incidents, non-payment, legal risk, or Terms breach
- Schools may disable User accounts at any time
- On termination of a School subscription, User access ends; data handling follows contract + Privacy Policy
- Provisions that by nature should survive (IP, liability limits, indemnity, governing law) survive termination
23. Warranties disclaimer
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR UNINTERRUPTED ERROR-FREE OPERATION. WE DO NOT WARRANT THAT FACE MATCHING OR GPS WILL BE ALWAYS ACCURATE.
24. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VITA SYSTEMS PVT.LTD SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS; LOST DATA; BUSINESS INTERRUPTION; OR TRANSPORT-RELATED HARM ARISING FROM RELIANCE ON APPROXIMATE LOCATION FEATURES.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE PLATFORM SHALL NOT EXCEED THE FEES PAID TO US FOR THE AFFECTED SCHOOL IN THE THREE (3) MONTHS BEFORE THE CLAIM, OR INR 5,000 IF NO SUCH FEES APPLY — EXCEPT WHERE LIABILITY CANNOT BE LIMITED UNDER MANDATORY INDIAN LAW.
25. Indemnity
You agree to indemnify and hold harmless VITA SYSTEMS PVT.LTD and its directors, officers, and employees from claims, damages, losses, and expenses (including reasonable legal fees) arising out of: (a) your Content; (b) your misuse of the Platform; (c) your breach of these Terms; or (d) violation of law or third-party rights — except to the extent caused by our proven wilful misconduct.
26. Force majeure
We are not liable for delays or failures caused by events beyond reasonable control, including natural disasters, war, terrorism, labour disputes, internet failures, power outages, or cloud-provider regional failures.
27. Governing law and disputes
These Terms are governed by the laws of India. Subject to non-waivable rights, courts in India have exclusive jurisdiction. Before filing a claim, contact info@patashala.co.in to attempt good-faith resolution.
28. Changes to these Terms
We may modify these Terms. The header shows the effective date and version. Continued use after changes take effect constitutes acceptance. Material changes may require explicit re-acceptance at sign-in (legal version bump).
29. Severability, waiver, assignment, language
If any clause is invalid, the rest remains effective. Failure to enforce a right is not a waiver. You may not assign these Terms without our consent; we may assign them in a merger or sale of assets. English controls if translations conflict.
30. Entire agreement
These Terms and the Privacy Policy are the entire agreement between you and us regarding Platform use, except a written Subscription Agreement with a School, which prevails on conflicting commercial terms (fees, SLA, liability caps negotiated therein).

We may provide notices via the Platform, email to Admin Users, or legal page updates. Notices to us should be sent to info@patashala.co.in.
